Terms and conditions for the ACE AI Spark Live Avatar service.
These Terms & Conditions ("Terms") govern your purchase and use of the ACE AI Spark Live Avatar service. By completing a purchase, you agree to be bound by these Terms.
The Live Avatar service is offered in two plans: Basic Avatar ($499 one-time setup fee) and Professional Avatar ($2,990 one-time setup fee). There is no monthly subscription — after your avatar is built, conversation time is billed on a pay-as-you-go basis (see "Billing" and "Conversation Rates" below). Current plan inclusions are described on the Live Avatars page at the time of purchase.
Your payment at checkout is a one-time setup fee. There is no monthly subscription and no recurring charge for the Live Avatar service. After your avatar launches, conversation time is billed on a pay-as-you-go basis from your platform credit balance at the rates below — you are only charged for the conversation minutes you actually use, and you choose if and when to add more credits (1 credit = 1 US cent).
The one-time setup fee includes building and training your avatar (custom face and voice cloning on Professional; ready-made avatar or digital copy on Basic), persona and knowledge configuration, launch of your shareable avatar link (and website embed plus avatar web page on Professional), and onboarding support.
Conversation time is billed per minute from your platform credit balance: $0.49 per minute (49 credits per minute) for the first 600 conversation minutes in a calendar month, and $0.39 per minute (39 credits per minute) for minutes above 600 in that month. The lower rate applies only to the minutes beyond 600. At purchase you receive a one-time welcome credit bundle (Basic: 1,700 credits / $17; Professional: 8,500 credits / $85) that you can use toward conversation time or other platform generation features. You can add credits at any time. Purchased credits are non-refundable except where a conversation failed due to a service error on our part.
We aim to have your Live Avatar live within 5 business days of receiving all required materials (photos or video, voice sample, brand guidelines, and knowledge documents where applicable), and in all cases no later than 30 days. Delays caused by incomplete or late materials do not count toward this timeline.
You may request a full refund of the one-time setup fee within 14 days of your purchase. After 14 days, the setup fee is non-refundable. There is no monthly subscription to cancel. Purchased conversation credits are non-refundable except where a conversation failed due to a service error on our part. If you upgrade from Basic to Professional, your Basic setup payment is credited toward the Professional setup fee.
Your one-time setup fee keeps your Live Avatar online — no recurring subscription is required to keep it running. To manage ongoing hosting costs, we may pause an avatar that has had no conversation activity for a prolonged period; we will give you reasonable notice and an opportunity to reactivate it before doing so, and any credits already in your account remain available per the platform Terms of Service. If the service is terminated, your avatar (including its shareable link and any website embed) is taken offline and its training data is deleted within 90 days as described below.
The service is intended for legitimate business interactions with real customers and visitors. Automated, scripted, or abusive usage patterns that degrade system performance or violate our acceptable use standards may result in throttling or suspension of service.
Any photos, video, voice recordings, and documents you provide for avatar training remain your property. We process them solely to build and operate your avatar, in accordance with our Privacy Policy and applicable data protection regulations including GDPR. Your face and voice data is stored encrypted and is permanently deleted within 90 days of service termination, or earlier upon request.
You retain full ownership of your brand assets, training data, and content. ACE AI Spark retains ownership of the underlying AI technology and platform. Your avatar's trained personality model is licensed exclusively to you for as long as your Live Avatar remains active on our platform.
We use commercially reasonable efforts to keep the Live Avatar service available, targeting 99.5% monthly uptime. Scheduled maintenance windows and failures of third-party infrastructure beyond our reasonable control are excluded.
You must be at least 18 years of age to purchase or use the Live Avatar service. By completing a purchase, you represent and warrant that you meet this age requirement. If we learn that a user is under 18, we will terminate their access and cancel their service immediately.
